As a partner at Barton Benson Jones PLLC, Mr. Cohen brings over 25 years of experience in the areas of general business and corporate law including commercial transactions, business formation and start-ups, debt financing, mergers and sales and acquisitions.
Bio:
A graduate of Tulane University (B.A., History 1987 Cum Laude Phi Beta Kappa) and the University of Texas School of Law (J.D. with Honors 1991), Mr. Cohen represents both start-up and long-standing business organizations, individual entrepreneurs and health care organizations in all forms of commercial transactions, mergers, acquisitions and dispositions as well as in the negotiation, drafting and review of commercial contracts.
For new enterprises, Mr. Cohen represents businesses and entrepreneurs in the organization and start-up planning and in the capitalization of business entities, raising capital through both the issuance of equity to investors and third-party debt financing.
Mr. Cohen also is engaged in forming and restructuring corporate entities, partnerships and limited liability companies and in negotiating and drafting shareholder agreements, partnership agreements, limited liability company agreements and other governance documents. In addition, Mr. Cohen provides ongoing legal representation as outside general counsel to many private and closely-held businesses.
